This page explains the terms and conditions, which contain important information about your legal rights. By using Pay2Commerce, you agree to these terms. Notes are not part of the official terms and have no legal effect; they are intended only to help you understand the text. 

By creating an account with Pay2Commerce or using any of Pay2Commerce's services, you agree to the following terms and conditions.

As used in these Terms of Service, “we,” “us,” and “Pay2Commerce” refer to the contracting party Pay2Commerce LLC.

The services offered by Pay2Commerce under the Terms of Service include various products and services to help you sell goods and services to buyers, whether online (hereinafter “Online Services”), in person (hereinafter “Physical Services”), or both. All services offered by Pay2Commerce are referred to in these Terms of Service as the “Services.” Any new features or tools added to the current Services shall also be subject to the Terms of Service. You can review the current version of the Terms of Service at any time at https://Pay2Commerce.com/terms. Pay2Commerce reserves the right to update and modify the Terms of Service by posting updates and changes to the Pay2Commerce website. You are advised to check the Terms of Service periodically to stay informed of any updates or changes that may affect you and if you do not agree to any such amendments, you must stop using the Pay2Commerce Services.

You must read, agree to and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, including the Pay2Commerce Terms of Use (https://Pay2Commerce.com/terms) and Pay2Commerce Privacy Policies before creating a Pay2Commerce Account or using any Pay2Commerce Services.

Please note that the common language notes are provided for ease of reference only and will appear in bold below each section, but are not legally binding. Please read the Terms of Service, including any documents referenced in the Terms of Service, to get a general idea of the legal requirements you must comply with. By using Pay2Commerce or any Pay2Commerce service, you agree to these terms. Please check back occasionally for updates.

  1. Acceptance of Terms

Thank you for using Pay2Commerce. These Terms of Service (“Terms”) represent a legal agreement between you and Pay2Commerce (as defined below) and govern your use of the Pay2Commerce website building service, including web hosting services, web page hosting services, communication tools, mobile applications, e-commerce tools, and other services (collectively, “Services”) available through the website and associated domains at http://Pay2Commerce.com (the “Site”), and your access to them is subject to these Terms of Service (the “Terms”). By using the Service in any way, you agree to the Terms, our privacy notice, and any other legal notices posted on our Site. If you use our Service for corporate or organizational purposes, you are agreeing to the Terms on behalf of that corporate or organizational entity. These Terms also apply when you use the trial version of the Service. If you do not agree to these Terms, do not use the Pay2Commerce Service.

  1. Service Description

Our Web Service allows registered users (individually an “Account Holder”) to create and maintain a website. Once registered, an Account Holder receives his or her own Website and can begin selling. Any new properties added to the Service, including the release of new Pay2Commerce tools and resources, are subject to the Terms of Service. To use the Services, you must have access to the Internet, either directly or through devices capable of accessing web content, and you must pay applicable Internet access fees. In addition, you must provide all equipment necessary to secure your Internet connection, including a web-enabled computer. The Services may include notices from us, such as service announcements, administrative messages, and the Pay2Commerce Newsletter. These notices are considered part of the Pay2Commerce membership. You may not access the Services through any platform other than the one provided by us.

  1. Account Terms

3.1 To access and use the Services, you must register for a Pay2Commerce account (“Account”) by providing your full legal name, current address, telephone number, a valid email address, and any other information as required. Pay2Commerce may reject your Account application or terminate an existing Account for any reason at our sole discretion.

3.2. You must be over: (i) 18 years of age to open an Account under Dominican law.

3.3. You confirm that you are receiving any Services provided by Pay2Commerce for the purpose of carrying out a commercial activity and not for any personal purpose.

3.4. You agree that Pay2Commerce will use as the primary method of communication between you the email address you provided during registration for an Account, or that you have updated from time to time. You are responsible for keeping your password secure. Pay2Commerce cannot and will not be liable for any loss or damage arising as a result of your failure to keep your Account and password secure.

3.5. You are responsible for all activity and content, such as photos, images, videos, graphics, written content, audio files, code, information or data uploaded, collected, generated, stored, displayed, distributed, transmitted or displayed on or in connection with your Account ("Materials").

3.6. A breach or violation of any term in the Terms of Service, as determined in Pay2Commerce's sole discretion, may result in immediate termination of your Services.

3.7. If any information you provide is not true, accurate, current or complete, or Weebly has reasonable grounds to suspect that such information is not true, accurate, current or complete, we may suspend or terminate your account and deny any and all current or future use of the Service.

  1. Account Activation

4.1 Store Owner

The person who subscribes to the Service by opening an Account will be the contracting party (hereinafter "Store Owner") for the purposes of our Terms of Service and will be the person who is authorized to use any applicable Account that we may provide to the Store Owner in connection with the Service.

If you are subscribing to the Services on behalf of your employer, your employer will be the Store Owner. If you are subscribing to the Services on behalf of your employer, you must use the email address issued by your employer and represent and warrant that you have the authority to bind your employer to our Terms of Service.3. Your Pay2Commerce store may only be associated with one Store Owner. A Store Owner may have multiple Pay2Commerce stores. “Store” means the online store or retail locations associated with the Account.

4.2 Employee Accounts

You may create one or more employee accounts (hereinafter “Employee Accounts”) that allow other people to access the Account. With Employee Accounts, the Store Owner can set permissions and allow other people to work on your Account and determine the level of access that Employee Accounts have to specific business information (for example, you can limit Employee Accounts’ access to sales information on the Reports page or prevent Employee Accounts from changing general store settings).

Store Owner is responsible for any acts, omissions or failures resulting from the use of Employee Accounts in fulfilling its obligations under these Terms of Service as if they were acts, omissions or failures of Store Owner.

The Store Owner and Employee Account users are referred to as a “Pay2Commerce User”.

4.3 Domain names

When purchasing a domain name through Pay2Commerce, the domain registration will be set to automatically renew annually by default, as long as your Pay2Commerce Account remains active. You acknowledge that it is your sole responsibility to disable the auto-renewal feature if you so desire.

4.4 Website Security

You are responsible for maintaining the security of your account and website, for all activities that occur or actions taken under or in connection with the website. You agree to notify us immediately in writing of any unauthorized use of your account or any other breach of security. We are not liable for any damages or losses resulting from your failure to comply with this security obligation. You acknowledge and agree that neither we nor any of our affiliates, subsidiaries, officers, directors or employees are liable under any circumstances or in any way for any acts or omissions by you or any third party, including any damages of any kind incurred as a result of such acts or omissions.

  1. General conditions

You must read, agree to and accept all of the terms and conditions contained in these Terms of Service, including the Privacy Policy before you can become a Pay2Commerce User.

Technical support in connection with the Services is only provided to Pay2Commerce Users and is only available by email.

The Terms of Service shall be governed by and construed in accordance with the laws of the United States applicable therein, without regard to principles of conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service and is expressly excluded herefrom.

You acknowledge and agree that Pay2Commerce may amend these Terms of Service at any time by posting the applicable amended and restated Terms of Service on the Pay2Commerce website, available at https://Pay2Commerce.com/terms and that such amendments to the Terms of Service shall be effective as of the date of posting. Your continued use of the Services following the posting of the amended Terms of Service on the Pay2Commerce website constitutes your agreement to and acceptance of the amended Terms of Service. If you do not agree to any changes to the Terms of Service, do not continue to use the Service.

You may not use the Pay2Commerce Services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws), any laws that apply to you in your client's jurisdiction, or any laws of the United States. You will comply with all applicable laws, rules and regulations in your use of the Service and in your performance of your obligations under the Terms of Service.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Services, or access to the Services without the express written permission of Pay2Commerce.

You must not purchase keywords from search engines or other pay-per-click websites (such as Google AdWords) or domain names that use Pay2Commerce or Pay2Commerce trademarks and/or variations thereof or with misspellings.

You understand that your Materials (excluding credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

All terms and provisions of these Terms of Service shall be binding upon and inure to the benefit of the parties to these Terms and their respective legatees, successors, permitted assigns and legal representatives. Pay2Commerce may assign these Terms of Service without your notice or consent. You shall not have the right to assign or transfer these Terms of Service, or any of your rights or obligations hereunder, to any third party without Pay2Commerce's prior written consent, which Pay2Commerce shall grant or withhold in its sole discretion.

If any provision, or portion thereof, of these Terms of Service is for any reason held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision (or the unaffected portion of the provision) of the Terms of Service, and the Terms of Service shall be construed as if such invalid, illegal or unenforceable provision, or portion of the provision, had never been contained in the Terms of Service.

  1. Contracting party of Pay2Commerce
  1. “Pay2Commerce Contracting Party” means Pay2Commerce LLC, a US company, with offices located at 609 Alton Av Reading PA 19605 United States.
  1. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the United States with respect to any dispute or claim arising out of or relating to the Terms of Service. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service and is hereby expressly excluded.
  1. The "Pay2Commerce Contracting Party" means Pay2Commerce LLC, an LLC company, incorporated in Delaware / USA, its website is located at https://Pay2Commerce.com/
  1. You irrevocably and unconditionally agree to submit to the jurisdiction of the courts of the United States, which have jurisdiction to resolve any dispute that may arise out of or in connection with the validity, effect, interpretation or enforceability of these Terms of Service, and you hereby irrevocably and unconditionally waive any claim, suit, action or proceeding brought by Pay2Commerce in any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service and is expressly excluded herefrom.
  1. Pay2Commerce Rights

We reserve the right to modify or discontinue the Services for any reason, without notice, at any time. Not all Services and features are available in all jurisdictions, and we are not obligated to make any Services or features available in any jurisdiction.

We reserve the right to refuse service to anyone for any reason at any time.

We may, but have no obligation to, remove Materials and suspend or terminate Accounts if we determine, in our sole discretion, that goods or services offered through a Store, or Materials uploaded or posted to a Store, violate our Privacy Policies or these Terms of Service.

Verbal or written abuse of any kind (including threats of abuse or retribution) of any Pay2Commerce customer, employee, member or Pay2Commerce authority will result in immediate account closure.

Pay2Commerce does not pre-screen Materials and we are free to reject or remove any Material from the Service, including your Store.

We reserve the right to provide our services to your competitors and do not promise exclusivity in any particular market segment. You further acknowledge and agree that Pay2Commerce employees and contractors may also be Pay2Commerce customers or merchants and may compete with you, although they may not use your Confidential Information (as defined in Section 6) to do so.

In the event of a dispute regarding Account ownership, we reserve the right to request documentation to determine or confirm ownership of the Account. Documentation may include, but is not limited to, a scanned copy of your business license, government-issued photo ID, the last four digits of the credit card on file, your status as an employee of an entity, etc.

Pay2Commerce reserves the right to determine, in our sole discretion, the legitimate ownership of the Account and transfer an Account to the legitimate Store Owner. If we are unable to reasonably determine the legitimate Store Owner, without prejudice to our other rights and remedies, Pay2Commerce reserves the right to temporarily disable an Account until a resolution has been reached between the disputing parties.

  1. Confidentiality

“Confidential Information” shall include, but is not limited to, all information relating to a party’s business that is not publicly known, including specific business information, technical processes and formulas, software, customer lists, potential customer lists, names, addresses and other information about customers and prospective customers, product designs, sales, costs (including applicable processing fees), price lists and other unpublished financial information, business plans and marketing data, and any other confidential information and information subject to proprietary rights, regardless of whether it is marked confidential or proprietary. Pay2Commerce Confidential Information includes all information that you receive in connection with us or the Services, that is not known to the general public, including information relating to our security program and practices.

Each party agrees to use the other party's Confidential Information only as necessary to perform its obligations under these Terms of Service and in accordance with any other obligations under these Terms of Service, including this Section 6. Each party agrees that it will take all reasonable steps, at least substantially equivalent to the steps it takes to protect its own proprietary information, to prevent the copying, disclosure or use of such Confidential Information, other than (i) by or through its employees, agents and subcontractors who must have access to such Confidential Information in order to perform such party's obligations hereunder and who are subject to confidentiality obligations to such party that are at least as strict as those contained herein; or (ii) as required by any law, regulation or order of any court of proper jurisdiction over the parties and the subject matter of these Terms of Service, provided that, if legally permitted, the receiving party will notify the disclosing party in writing and use commercially reasonable efforts to ensure that such disclosure receives confidential treatment. Confidential Information shall not include any information that the receiving party can prove: (A) was already publicly known, or was already known or in the receiving party’s possession, at the time of disclosure of such information; (B) information that is independently developed by the receiving party without use or reference to the other party’s Confidential Information, and that does not violate any provision of these Terms of Service; or (C) was promptly obtained by the receiving party from a source other than the disclosing party without breach of any provision of these Terms of Service.

  1. Limitation of liability

You expressly understand and agree that, to the fullest extent permitted by applicable laws, Pay2Commerce shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Service.

To the fullest extent permitted by applicable law, in no event shall Pay2Commerce or our suppliers be liable for any lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our Services or these Terms of Service (even if arising from negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Pay2Commerce Partners, officers, directors, agents, employees and suppliers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

Your use of the Services is at your own risk and peril. The Services are provided on an "as is" and "as available" basis without any warranty or condition, express, implied or statutory.

Pay2Commerce does not guarantee that the Services will be uninterrupted, timely, secure or error-free.

Pay2Commerce does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.

Pay2Commerce does not guarantee that the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected.

  1. Waiver and Full Agreement

The failure of Pay2Commerce to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service, including the documents they incorporate by reference, constitute the entire agreement between you and Pay2Commerce and govern your use of the Services and your Account, superseding any prior agreements between you and Pay2Commerce (including, but not limited to, any prior versions of the Terms of Service).

  1. Intellectual Property and User Generated Content

We do not claim any intellectual property rights over the Materials you provide to the Pay2Commerce Service. All Materials you upload belong to you. You may delete your Pay2Commerce store at any time by deleting your Account.

By uploading Materials, you agree to: (a) allow other Internet users to view the Materials you post publicly on your Store; (b) allow Pay2Commerce to store, and in the case of Materials you post publicly, display and use your Materials; and (c) that Pay2Commerce may, at any time, review and remove any Materials submitted to its Service, although Pay2Commerce is not obligated to do so.

You retain ownership of all Materials you upload to the Store; however, by making your Store public, you agree to allow others to view the Materials you post publicly on your Store. You are solely responsible for the Materials' compliance with any applicable laws or regulations.

Pay2Commerce shall have the non-exclusive right and license to use the names, trademarks, service marks and logos associated with your Store to promote the Service. In other words, you grant us and our affiliated subsidiaries and successors a worldwide, non-exclusive, royalty-free, fully paid, transferable, irrevocable, perpetual, sublicensable right to use, reproduce, modify, adapt, publish, prepare derivative works of, distribute, publicly perform and publicly display your Content throughout the world in any media.

  1. Content, rules of conduct and obligations

Any information, data, text, software, music, sound, photographs, graphics, video, messages, goods, products, services or other materials that you post on a website through the Services (the “Content”) are the sole property of the person from whom such Content originated. You are responsible for all Content that you upload, post, transmit or otherwise make available through the Services. We do not control the Content that you post through the Services. Your Content does not include non-personally identifiable buyer/seller transaction data or behavioral data derived from the use of the Pay2Commerce e-commerce platform (collectively, “Platform Data”). Pay2Commerce owns all Platform Data and uses it for its service operations, improvements and analytics. You are also responsible for creating a backup of your Content.

By using the Services, you may be exposed to offensive, indecent, or profane content. Under no circumstances are we liable for any Content you post or any content posted by any third party, including, without limitation, any errors or omissions in your Content, or any damage or loss of any kind incurred through the use of any Content posted, transmitted, or otherwise made available via the Services. You acknowledge that we do not screen Content, but we retain the right (but not the obligation) to refuse, change, or remove any Content available on our Service. We also retain the right to remove any Content that violates the Terms or is otherwise objectionable to us. You must evaluate, and bear the potential risks of using any Content. You may not rely on any Content created by us. You acknowledge and agree that we may preserve and disclose Content if we are required to do so by law or in the good faith belief that such preservation or disclosure is necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that Content violates the rights of third parties; or (d) protect our rights, property, or personal safety and that of our users and the public.

The technical processing and transmission of the Services, including the Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You may not:

  1.   Upload, post, transmit or otherwise make available Content that:
  1.   is unlawful, harmful, threatening, offensive, abusive, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy (including addresses, email addresses, telephone numbers or any contact details without the prior consent of the owner of such details), promotes hate speech, or racist, ethnic or any other type of hate speech;
  1.   you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside, proprietary and confidential information learned or disclosed to you as part of employment relationships or under nondisclosure agreements);

     iii. infringes any patent, trademark, trade secret, copyright, privacy or publicity rights or other proprietary rights of any kind (for example: music, movies, images, e-books or games that are not your property);

  1.   is unsolicited commercial email or "spam." This includes unethical advertising, marketing, or any other practices in any way related to "spam," such as (i) sending mass emails to unsolicited recipients or from a false sender, (ii) promoting a website with inappropriate titles, descriptions, or links, or (iii) promoting your website by posting multiple submissions to public forums that are identical;
  1.   contains any software viruses, worms, Trojan horses or any other computer code, files or programs that interrupt, destroy or limit the functionality of the Services, computer software or computer hardware or telecommunications equipment, or that may affect the ability of Pay2Commerce users to access the Service;
  1.   seeks to take advantage of a user, such as "make money fast," "make money browsing," multi-level or pyramid marketing, or other questionable strategies; or

     vii. is directed solely at an adult audience, such as Content that depicts nudity in a sexual context or that is exclusively for adults or depicts genitals;

  1.   Harm minors in any way;
  1.   "Harass," "intimidate," or otherwise stalk any person;
  1.   Impersonate any person or entity, including, without limitation, any Pay2Commerce employee, host, guide or forum leader, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  1.   Forge headers or manipulate identifiers in order to disguise the origin of any Content transmitted through the Services;
  1.   Interfere with or disrupt the Services, or servers or networks connected to the Service, or disobey any requirements, legal process, policies or regulations of networks connected to the Service;
  1.   voluntarily or involuntarily, breach any provision of local law, or applicable international regulations and laws. 
  1.   Promote or provide instructional information about illegal activities, promote physical violence or harm toward any group or individual, or promote any act of cruelty against animals. This includes, but is not limited to, providing instructions on how to prepare bombs, grenades, or other incendiary weapons or devices;
  1.   Use the Services to redirect to another website or fraudulently manipulate Google or other search engine rankings, or Facebook or any social networking or “like” sites and the like.
  1.   Requesting passwords or personal identification data from third parties for illegal activities or identity theft.
  1.   Exceeding the scope of the Services for which you have registered (e.g., by accessing tools that you do not have the right to access or using them without your right to do so, or by deleting, adding to, or modifying other users' comments or content);
  1.   Upload files solely for the purpose of being stored by us and for use external to the Site created using the Services;
  1.   Creating through custom programming a website that provides a harmful user experience. Examples may include, but are not limited to, banners with extreme flashing, excessive animated movement, or content that may cause seizures in unsuspecting visitors;
  1.   Under no circumstances may you use any open source software subject to the GNU Affero General Public License v.3 or higher;
  1.   Abuse our customer services via email, chat, phone or our agents; or
  1.   Take any action while using the Services that is detrimental to the Services or to the reputation of Pay2Commerce, as determined by Pay2Commerce in its sole discretion.

We reserve the right to cancel any account or remove any user who has violated any of the prohibitions set forth.

  1. Payments

13.1. You must maintain a valid payment method on file with us to pay all incurred and recurring Charges. Pay2Commerce will charge the applicable Charges to any valid payment method you authorize ("Authorized Payment Method"), and Pay2Commerce will continue to charge the authorized payment method for the applicable Charges until the Services are cancelled, and all outstanding Charges have been paid in full. Unless otherwise stated, all Charges and other fees are expressed in Dominican Pesos and all payments will be made in the Dominican currency.

Subscription Fees are payable in advance and will be billed in 30-day intervals (each such date is referred to as a “Billing Date”). Transaction Fees and Additional Fees will be charged from time to time at Pay2Commerce’s discretion. You will be charged on each Billing Date for all outstanding Fees not previously charged. Fees will appear on an invoice, which will be sent to the Store Owner via the email provided. Additionally, an invoice will appear on the Account page of your Store’s admin panel. Users have approximately two weeks to evoke and resolve any issues related to the billing of Subscription Fees.

If we are unable to process payment for the Charges using an authorized payment method, we will make a second attempt to process payment using any authorized payment method 3 days later. If the second attempt is unsuccessful, we will make a final attempt 3 days after the second attempt. If our final attempt fails, we may suspend and revoke access to your Account and the Services. Your Account will be reactivated upon payment of any outstanding Charges, plus any Charges applicable to your next billing cycle. You may not be able to access your Account or your store home page during any suspension period. If outstanding Charges remain unpaid for 60 days after the suspension date, Pay2Commerce reserves the right to terminate your Account.

You are responsible for all applicable Taxes arising from or as a result of your subscription to or purchase of Pay2Commerce products and services. To the extent Pay2Commerce collects these Taxes, they are calculated using the tax rates that apply based on the billing address you provide to us. Such amounts are in addition to the Charges for such products and services and will be billed to your authorized payment method. If you are exempt from paying such Taxes, you must provide us with evidence of your exemption, which in some jurisdictions includes an original certificate that meets applicable legal requirements attesting to tax-exempt status. Tax exemption will only apply from the date we receive evidence satisfying Pay2Commerce of your exemption. If Pay2Commerce does not collect the Taxes from you, you are responsible for determining whether the Taxes are payable and, if so, remitting the Taxes yourself to the appropriate tax authorities in the United States.

For the avoidance of doubt, all amounts payable by you to Pay2Commerce under these Terms of Service shall be paid without deductions or withholdings of any kind. Other than Taxes that Pay2Commerce collects from you and that are remitted on your behalf to the appropriate taxing authorities, any other deductions or withholdings required by law shall be your responsibility and shall be paid separately to the appropriate taxing authority. Pay2Commerce shall be entitled to charge the full amount of the Charges set forth in these Terms of Service to your authorized payment method, ignoring any deductions or withholdings that may be required.

13.2. Pay2Commerce does not make refunds.

  1. Sales through Pay2Commerce

You will NOT offer or sell Commercial Products that:

are illegal or potentially illegal, including counterfeit, stolen, historically restricted, or fraudulent products. Commercial Products sold through the Services must comply with applicable laws, including Commercial Products sold to persons outside the United States;

infringe or attempt to infringe the intellectual property rights or privacy rights of a third party or that may be libelous, slanderous, or defamatory in any way;

we determine, in our sole discretion, to be inappropriate, offensive, pornographic, sexually explicit, or violent; or

are produced as, or primarily intended to be used as, weapons, including firearms, restricted devices, or ammunition. We reserve the right to determine, in our sole discretion, whether Commercial Products are “weapons” for purposes of the Terms;

use images or names of third parties (including prominent personalities or celebrities) to offer or sell Commercial Products without first obtaining the third party's permission.

  1. Cancellation and Termination

You may cancel your Account and terminate the Terms of Service at any time by emailing [email protected] and following the specific instructions provided in Pay2Commerce's response.

Upon termination of the Services by either party for any reason:

Pay2Commerce will stop providing the Services to you and you will no longer be able to access your Account;

Unless otherwise stated in the Terms of Service, you will not be entitled to any refund of any Charges, pro rata or otherwise;

Any outstanding balance owed to Pay2Commerce for use of the Services up to the effective date of such termination will immediately become due and payable in full; and your Store website will be disconnected.

If you purchased a domain name through Pay2Commerce, cancelling your domain will no longer automatically renew it. After termination, it will be your sole responsibility to handle all matters related to your domain with the domain provider.

If any outstanding Charges owed by you remain at the date of termination of the Service, you will receive a final invoice by email. Once the invoice has been paid in full, you will not be charged again.

We reserve the right to modify or terminate the Pay2Commerce Service, the Terms of Service and/or your Account for any reason, without notice at any time. Termination of the Terms of Service will be without prejudice to any other rights or obligations arising prior to the date of termination.

Fraud: Without limiting any other remedies, Pay2Commerce may suspend or terminate your Account if we suspect that you (by conviction, judgment, insurance or escrow investigation or otherwise) have engaged in fraudulent activity in connection with your use of the Services.

We are not responsible for any information or content that is removed.

  1. Modifications to the Service and Prices

Prices for use of the Services are subject to change upon 30 days' prior notice from Pay2Commerce. Such notice may be provided at any time by posting the changes on the Pay2Commerce site (Pay2Commerce.com) or in the administration menu of your Pay2Commerce store via a notice.

Pay2Commerce reserves the right at any time, and from time to time, to modify or discontinue the Services (or any part thereof) with or without notice.

Pay2Commerce shall not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Service.

  1. Beta services

Pay2Commerce may from time to time, in its sole discretion, invite you to use, on a trial basis, beta or pre-release features that are under development and not yet available to all Merchants ("Beta Services"). Beta Services may be subject to additional terms and conditions that Pay2Commerce will provide to you prior to your use of the Beta Services. Such Beta Services and all discussions and materials relating thereto shall be deemed Confidential Information of Pay2Commerce and shall be subject to the confidentiality provisions of this Agreement. You agree, without limiting the generality of the foregoing, that you will not make any public statements or disclose your participation in the Beta Services without Pay2Commerce's prior written consent. Pay2Commerce does not represent or warrant that the Beta Services will work. Pay2Commerce may discontinue the Beta Services at any time in its sole discretion. Pay2Commerce will not be liable for any damages arising from or related to the Beta Services. The Beta Services may not function in the same manner as the final version. Pay2Commerce may change or not publish a final or commercial version of a Beta Service at our sole discretion.

  1. Comments and Reviews

Pay2Commerce welcomes any ideas and/or suggestions regarding improvements or additions to the Services. Under no circumstances shall the disclosure of any ideas, suggestions or related materials or any reviews of the Services, any Third Party Services or any Third Party Providers (collectively, “Feedback”) to Pay2Commerce be subject to any obligation of confidentiality or expectation of compensation. By submitting Feedback to Pay2Commerce (whether submitted directly to Pay2Commerce or posted on any forum or page hosted by Pay2Commerce), you waive any and all rights in the Feedback and Pay2Commerce is free to implement and use the Feedback as it wishes, as proposed by you or as modified by Pay2Commerce, without obtaining permission or license from you or any third party. Any review of an External Service or External Provider that you submit to Pay2Commerce must be as accurate as possible to the best of your knowledge, and must not be unlawful, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable. Pay2Commerce reserves the right (but not the obligation) to remove or edit a Review of External Services or External Providers, but does not regularly monitor posted Reviews.
